These terms and conditions apply to the following trial offers or accesses:
Upside Learning will provide you with a non-exclusive and non-transferable right to access trial versions of these systems. You may use these systems for internal trial purposes only, within the allowed trial time frame, which starts on the day you are given access to the trial versions. You may not use them for any commercial purpose, nor may you use them for actual training or assessment activities. The maximum number of users who can access the trial version of the system is 10. They may not disclose their access details to any other individual. During the trial period, the costs of administration, hardware, software, communication, utilities or any other items of expenditure connected with your use of the trial system will be borne by you. Any data that you store in the trial version of the system is solely your responsibility. It will get deleted upon completion of the trial period.
You may not disclose the access information for these trial versions to any third party. You may not make any copies of or make available screenshots of the system, nor may you develop any derivative or competitive systems from it. When the trial period ends, you must stop using the trial version of the system.
Your request and requirements for a free pilot project would be evaluated, and as applicable, an agreement would be reached regarding scope of the free pilot project. Signing up for a free pilot does not automatically mean that we will develop a pilot project for you.
You may not make copies of or make available screenshots of or disclose the free pilot project developed for you to any third party. You may not develop any derivative or competitive content solutions from it, nor may you utilize it for commercial or marketing purposes. Its purpose is strictly for you to evaluate our capabilities.
You may not copy or make available screenshots of any of the content solutions to which you are granted access through Showcase. You may not disclose them to any third party, nor may you develop any derivative or competitive content solutions from them. You may not utilize these sample content solutions for commercial or marketing purposes. Their purpose is strictly for you to evaluate our capabilities.
You must be 18 years or older to enter this agreement, or above the applicable age of maturity in the country from where you are entering into this agreement. All information provided by you to enter into this agreement must be true.
If you are a competitor of Upside Learning, you may not register for these trial versions or accesses.
All communication related to this agreement will be in electronic form and in such form will meet the same legal requirements as if they were in writing.
You agree to comply with all applicable Indian laws as well as applicable laws in the country from where you are signing up and availing of this offer. This includes applicable laws about data privacy and protection.
You may not use the trial systems, showcase samples, or pilot project for any harmful or malicious purpose.
Upside Learning reserves the right to change these terms and conditions at its discretion at any time. Upside Learning reserves the right to terminate this agreement if these terms and conditions are violated at any time.
Upside Learning, its directors, and its personnel will not be responsible for any damages you sustain if these terms and conditions are breached. Upside Learning, its directors, and its personnel will not be liable for any damages associated in any way with these trial versions, showcase samples, or pilot project.
Upside Learning owns the legal rights to UpsideLMS and UpsideAE, including the applicable intellectual property rights.
Any disagreement related to this agreement would be resolved between you and Upside Learning within the framework of these terms and conditions and applicable legislation. Upside Learning may seek legal redress where required. Neither party shall be in default if terms and conditions cannot be complied with due to unforeseen events beyond that party’s control (e.g. floods, war, Internet failure etc)
This agreement contains Upside Learning’s agreement to the contents therein.
